Terms of Service

1. Eligibility & Acceptance

You must be at least 18 years old and able to form a legally binding contract to use the Platform. By creating an account, joining a waitlist, checking a box indicating acceptance, or otherwise accessing or using the Platform, you agree to these Terms and our Privacy Policy. If you are using the Platform on behalf of a business or other entity, you represent that you have authority to bind that entity, and “you” includes that entity.

2. Definitions

• “Platform” means the Social Link websites, mobile applications, live map, marketplace, APIs, and related services.
• “User” means any person or entity that accesses the Platform, including Creators, Businesses, and Members.
• “Creator” means a User offering content, performance, or services, including influencers, content creators, performers, musicians, and service or hospitality workers.
• “Business” means a User offering products, services, deals, or paid opportunities.
• “User Content” means any content, media, or information a User submits to or through the Platform.
• “Deal” means any brand engagement, booking, barter, comp, voucher, or paid opportunity arranged through the Platform; “Tip” means a voluntary payment to a Creator or worker.

3. The Platform & Services

Social Link operates a live, location-based network that displays the real-time presence and availability of Users on a map, uses AI-assisted tools to match Creators, Businesses, and community members, and provides a marketplace for Deals, bookings, barter and comp arrangements, vouchers, consumer offers, and voluntary tipping of performers and service workers. Payments are handled by third-party processors. We may add, modify, suspend, or remove any feature of the Platform at any time without liability.

4. Early Access, Beta & Waitlist

The Platform, or portions of it, may be offered on an early-access, preview, or beta basis and is provided “as is” and “as available.” Features, availability, pricing, and launch timing may change, be delayed, or be discontinued at any time. Joining a waitlist or registering for early access does not guarantee access to the Platform, a launch in any market, or any particular feature, result, or outcome.

5. Accounts & Security

You agree to provide accurate, current, and complete information and to keep it updated. You are responsible for safeguarding your login credentials and for all activity under your account. You must notify us promptly of any unauthorized use. We may refuse, suspend, reclaim, or remove any account or username at our discretion.

6. License to Your Content

You retain ownership of your User Content. You grant Social Link a worldwide, perpetual, irrevocable (to the maximum extent permitted by law), non-exclusive, royalty-free, fully paid-up, transferable, and sublicensable license to host, store, cache, reproduce, adapt, modify, translate, create derivative works of, publish, publicly perform, publicly display, and distribute your User Content, in whole or in part, in any media now known or later developed, for the purposes of operating, improving, developing, and promoting the Platform — including advertising and marketing the Platform to the public.

You represent and warrant that you own or have all rights necessary to grant this license and that your User Content does not infringe or violate the rights of any third party. To the maximum extent permitted by law, you waive any moral rights in your User Content.

7. Name, Likeness, Handle & Publicity Release

You grant Social Link the right to use your name, username or handle, voice, profile image, likeness, business name and logo, performance, and the existence and general nature of your participation and transactions, in connection with operating, demonstrating, and marketing the Platform — including in testimonials, case studies, the live map, social media, press, and paid advertising to the public.

To the maximum extent permitted by law, you release Social Link and its affiliates from any claims arising out of such use, including claims for violation of the right of publicity or privacy, defamation, or false light. If your User Content includes other identifiable individuals, you represent that you have obtained their consent to the same uses.

8. Data — Collection, Use & Consent

By using the Platform, you consent to our collection and processing of your profile, content, transaction, communications, device, and activity data, and — where you enable it — your approximate or precise real-time location and “live presence,” as described in our Privacy Policy. We use this data to operate the Platform, match Users, surface live presence, process payments, prevent fraud and abuse, improve and develop our services, and market the Platform.

Where we share your data with a participating Business or Creator at your direction, or where we rely on your consent (for example, live location), you may withdraw that consent at any time, after which we will stop the corresponding processing on a going-forward basis. You grant Social Link the right to create, retain, and use de-identified and aggregated data derived from your use of the Platform for any lawful business purpose, including analytics, benchmarking, and product development. We do not sell your personal information as that term is defined under applicable law.

9. Creator Representations & Obligations

• You own or have all necessary rights to the content you create and submit.
• You will comply with all applicable laws and with the FTC Endorsement Guides, and will clearly disclose sponsored or compensated content (e.g., #ad).
• You will deliver agreed work and provide accurate information about your audience and reach.
• You will comply with the terms and policies of any third-party platform on which you publish.
• You are solely responsible for any taxes on your earnings and tips.

10. Business Representations & Obligations

• Your offers, Deals, and vouchers are accurate, lawful, and within your ability and authority to honor and fund.
• Your products and services, and any content you approve for publication to your own channels, comply with applicable law and third-party rights.
• You will comply with all advertising, consumer-protection, and disclosure laws.
• You are responsible for your interactions with Creators and customers arranged through the Platform.

11. Marketplace, Deals, Barter & Vouchers

Social Link provides a venue and tools that connect Users. Social Link is not a party to any Deal, booking, barter, transaction, or agreement between Users. We are not an employer, agency, talent manager, or representative of any Creator, and we do not guarantee any match, Deal, booking, result, foot traffic, earnings, or other outcome.

Users are solely responsible for negotiating, performing, fulfilling, and resolving disputes regarding their dealings with one another. Social Link may charge service or marketplace fees, which will be disclosed at the time of the relevant transaction.

12. Tipping & Payouts

Tips are voluntary payments. Performers and service or hospitality workers (including, for example, musicians and bartenders) may opt into receiving tips. Tips are final once released. Recipients are solely responsible for their own taxes and for compliance with any applicable employer tip-pooling or gratuity policies. Platform fees applicable to tips will be disclosed at the time of the transaction.

13. Payments, Fees & Taxes

Payments, payouts, escrow, and tips are processed by third-party payment providers (for example, Stripe), and your use of those services is subject to their terms. You authorize us and our processors to charge your selected payment method for amounts you incur. Except as required by law, Platform and service fees are non-refundable. You are solely responsible for all taxes arising from your transactions, earnings, and tips. Chargebacks or disputed payments may result in suspension or termination.

14. Non-Circumvention

For twelve (12) months after you are introduced to or connected with another User through the Platform, you agree not to circumvent the Platform — or solicit or arrange to transact off-Platform — for the purpose of avoiding fees on opportunities sourced through the Platform. Breach of this section entitles Social Link to recover the fees that would have been owed, in addition to any other available remedies.

15. Acceptable Use

You agree not to:

• use the Platform for any unlawful, fraudulent, deceptive, or harmful purpose;
• harass, threaten, defame, or harm any person, or post hateful, abusive, or sexually exploitative content;
• infringe any intellectual property, privacy, publicity, or other right;
• scrape, harvest, data-mine, reverse engineer, or attempt to access the Platform other than through our provided interfaces;
• upload malware, interfere with or disrupt the Platform, or circumvent security or usage limits;
• misrepresent your identity, affiliation, audience, or offers, or collect or post another person’s data without consent.

16. Intellectual Property

The Platform, including its software, design, text, graphics, the “Social Link” and “SocialLink.ai” names, logos, and all related trademarks, is owned by Social Link or its licensors and is protected by law. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to use the Platform for its intended purpose. You may not use our trademarks without our prior written permission.

17. Third-Party Services & Links

The Platform integrates and links to third-party services, including payment processors, mapping providers, Google services, and social-media APIs. Your use of those services is governed by their own terms and privacy policies, and Social Link is not responsible for them or for any third-party content.

18. Disclaimers

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. SOCIAL LINK DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT ANY MATCH OR DEAL WILL OCCUR OR PRODUCE ANY RESULT, OR THAT ANY USER IS WHO THEY CLAIM TO BE. YOU USE THE PLATFORM AT YOUR OWN RISK.

19. Assumption of Risk & Release

The Platform facilitates connections that may lead to communications, transactions, and in-person meetings or events. You knowingly assume all risks arising from your interactions with other Users and from attending any location or event. TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU RELEASE AND HOLD HARMLESS SOCIAL LINK AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS FROM ANY CLAIMS, DEMANDS, DAMAGES, LOSSES, OR DISPUTES ARISING OUT OF OR RELATED TO YOUR INTERACTIONS WITH OTHER USERS, ANY DEAL OR TRANSACTION, ANY USER CONTENT, OR ANY IN-PERSON MEETING OR EVENT.

20. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOCIAL LINK WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS, ARISING OUT OF OR RELATED TO THESE TERMS OR THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY. SOCIAL LINK’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID SOCIAL LINK IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100). Some jurisdictions do not allow certain exclusions or limitations, so some of the above may not apply to you.

21. Indemnification

You agree to defend, indemnify, and hold harmless Social Link and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your User Content, your use of the Platform, your Deals or interactions with other Users, your breach of these Terms, or your violation of any law or third-party right.

22. Suspension & Termination

We may suspend, restrict, or terminate your access to the Platform at any time, with or without notice, including for any actual or suspected violation of these Terms or to protect the Platform or other Users. You may stop using the Platform and close your account at any time. Sections that by their nature should survive termination — including license, release, disclaimers, limitation of liability, indemnification, and dispute resolution — will survive.

23. Dispute Resolution; Arbitration; Class Waiver

Except where prohibited by law, you and Social Link agree that any dispute arising out of or relating to these Terms or the Platform will be resolved by binding individual arbitration seated in Nashville, Tennessee, rather than in court, and you and Social Link waive the right to a jury trial and to participate in a class or representative action. You may opt out of this arbitration agreement by sending written notice to info@sociallink.com within thirty (30) days of first accepting these Terms. Nothing here prevents either party from seeking injunctive relief for intellectual-property or unauthorized-use claims.

24. Governing Law & Venue

These Terms are governed by the laws of the State of Tennessee, United States, without regard to its conflict-of-laws rules. Subject to the arbitration section above, the exclusive venue for any dispute is the state and federal courts located in Nashville, Davidson County, Tennessee.

25. Changes to These Terms

We may update these Terms from time to time. For material changes, we will provide notice through the Platform or by other reasonable means. Changes take effect when posted unless otherwise stated, and your continued use of the Platform after changes become effective constitutes acceptance.

26. Miscellaneous

These Terms, together with the Privacy Policy and any terms presented at the time of a transaction, are the entire agreement between you and Social Link regarding the Platform. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them freely. We are not liable for delays or failures caused by events beyond our reasonable control.
